Itochu to Enter Joint Management of U.S. Aircraft Leasing Firm Aviation Capital Group
Itochu Corporation announced on August 3, 2026, its decision to participate in the joint management of Aviation Capital Group LLC (ACG), a prominent U.S.-based aircraft leasing company. This strategic move is designed to bolster Itochu’s aerospace business and develop the aircraft value chain as a new source of revenue, while deepening its collaboration with strategic partner Tokyo Century Corporation.
Details of the Transaction and Strategic Intent
Itochu will acquire a 50% equity stake in TC Skyward Aviation U.S., Inc., a wholly owned subsidiary of Tokyo Century, for approximately US$1.95 billion. This acquisition will establish a joint management structure for ACG between Itochu and Tokyo Century. In addition, Itochu plans to subscribe to 10 billion yen in bond-type class shares issued by Tokyo Century, aimed at strengthening the partner’s financial foundation and reinforcing their long-term alliance. These transactions are subject to regulatory approvals and customary closing conditions, with the bond subscription anticipated in the second quarter and the equity investment expected in the third quarter of fiscal year 2026.
Founded in 1989, ACG is recognized as one of the world’s leading aircraft leasing companies, ranking ninth globally by fleet size. The company manages a high-quality portfolio focused on new-generation aircraft and leases to 90 airlines across 50 countries. Itochu intends to leverage ACG’s scale, portfolio quality, and established track record to enhance its presence in the expanding aircraft leasing market, which continues to benefit from sustained growth in global air travel demand.
Strategic Outlook and Challenges
Through this investment and joint management arrangement, Itochu aims to position ACG as a core platform within its aerospace business, with plans to expand ACG’s managed fleet and overall business scale. Itochu’s broader strategy encompasses comprehensive involvement in the aircraft value chain, spanning procurement, leasing, sales, aftermarket parts, and maintenance services.
Nonetheless, Itochu faces several challenges in this venture. The company must navigate complex regulatory compliance requirements within the U.S. aircraft leasing sector and effectively integrate operations with Tokyo Century. Furthermore, ongoing global aircraft shortages present risks of supply chain disruptions that could affect business growth and operational efficiency.
Market response to Itochu’s move is expected to be favorable, with increased investor confidence in the company’s strategic expansion within the aviation sector. At the same time, competitors may intensify their efforts in the aircraft leasing market or pursue new collaborations to address shared industry challenges such as supply constraints and regulatory complexities.
By deepening its partnership with Tokyo Century and investing in ACG, Itochu seeks to establish a new earnings platform and reinforce its position as a significant player in the global aircraft leasing industry.
