Air Transport Components (ATC) has strengthened its maintenance, repair, and overhaul (MRO) capabilities through the acquisition of Aero Controls (ACI), a Seattle-based, FAA-certified specialist in precision aircraft component repairs. With over four decades of experience and operations spanning three locations, ACI brings substantial technical expertise to ATC’s expanding platform.
Strategic Expansion and Enhanced Capabilities
The acquisition significantly broadens ATC Group’s presence in the Pacific Northwest and introduces specialist engineering knowledge alongside proprietary repair capabilities. ACI’s portfolio encompasses a wide array of complex aircraft systems, including avionics, electromechanical components, pneumatics, transmissions, hydraulics, and emergency equipment. The company will continue to operate as a distinct business unit within ATC Group, retaining its existing management team to ensure operational continuity and support future growth initiatives.
ATC emphasized that the deal enhances its capacity to provide comprehensive component MRO services to airline customers, while creating opportunities to cross-sell services across the combined client base. Chief Executive Jimmy Newman highlighted ACI’s engineering expertise and industry relationships as a strong complement to ATC’s existing strengths, positioning the company as a one-stop solution for major airlines.
Industry Context and Future Challenges
ACI Founder John Titus expressed confidence that joining ATC Group would accelerate growth prospects while preserving the company’s commitment to delivering high-quality repair solutions. This transaction marks ATC Group’s second acquisition since partnering with private equity firm AE Industrial Partners in June 2025, following the earlier purchase of PAS MRO. AE Industrial Partners noted that the acquisition aligns with its strategy to build a leading component MRO platform characterized by broader capabilities, expanded market reach, and an enhanced customer offering. XLCS Partners acted as the exclusive M&A adviser to ACI.
As ATC integrates ACI into its operations, the company faces several challenges, including the integration of systems and workforces, maintaining compliance with stringent aviation maintenance regulations, and managing the transition to a larger national presence. The expanded footprint may also attract increased scrutiny from aviation authorities and competitors, who could respond with their own strategic expansions or acquisitions to safeguard market share.
This acquisition occurs amid a wider trend of consolidation within the MRO sector, with companies such as VSE and Steiner Aviation also expanding their maintenance capacities. Industry analysts observe that this consolidation is reshaping the competitive landscape, as leading players seek to offer more comprehensive services and capture a greater share of the growing aviation maintenance market.
