Jamco and Bain Capital Acquire Aerospace Technologies Group
Jamco Corporation, Japan’s foremost manufacturer of cabin interior equipment for commercial aviation and a Bain Capital portfolio company, has announced the acquisition of Aerospace Technologies Group (ATG) in partnership with Bain Capital, a global private investment firm managing $185 billion in assets. This transaction represents a significant milestone in Bain Capital’s strategic expansion within the aerospace sector.
Aerospace Technologies Group: A Leader in Advanced Window Shade Systems
Founded in 1998 and headquartered in Boca Raton, Florida, ATG is a leading developer and supplier of advanced window shade systems for both private and commercial aircraft. Under the leadership of CEO Mario Ceste, the company has grown to exceed $60 million in annual revenue, establishing itself as the largest Tier 1 supplier of electric window shades to aircraft original equipment manufacturers (OEMs) worldwide. ATG’s flagship product, the aerBlade® window shade system, enables passengers and crew to control window shades electronically, enhancing cabin operations and passenger comfort.
ATG’s products are integrated into prominent business jet platforms from Bombardier, Gulfstream, and Textron Aviation (Cessna), as well as commercial aircraft models including the Boeing 777-300ER, Airbus A380, and A350. The company maintains manufacturing and research and development facilities in Boca Raton, with additional sites in Dubai and Toulouse. Its industry excellence has been recognized through Bombardier’s Diamond Supplier award in both 2022 and 2023.
Strategic Vision and Future Prospects
Following the acquisition, ATG and Jamco will continue to operate independently under a shared ownership structure led by Bain Capital. Kate Schaefer, Executive Chair of both companies, highlighted the strategic intent behind the acquisition, stating that ATG represents a foundational step toward transforming Jamco into a global leader in cabin interiors. She emphasized the complementary nature of ATG’s aerBlade product with Jamco’s business class seat offerings and its capabilities in cabin modification and engineering certification, underscoring the industrial logic of the combination.
Mario Ceste expressed appreciation for the company’s previous ownership under Jacqueline Autry and optimism about the future growth opportunities enabled by the partnership with Jamco and Bain Capital. Nick Gattas, Managing Director of Bain Capital’s Asia Private Equity team, echoed this sentiment, emphasizing the commitment to maintaining ATG’s entrepreneurial culture focused on innovation and customer service.
Market Implications and Challenges
The acquisition strengthens Jamco and Bain Capital’s position in the aircraft interior systems market, though it also presents integration challenges. These include navigating complex regulatory requirements within the aviation industry and ensuring the successful adoption of ATG’s innovative window shade technology across Jamco’s existing platforms. Industry analysts anticipate heightened interest in Jamco’s expanded capabilities, while competitors may respond by accelerating their own technological developments or pursuing similar acquisitions to sustain market competitiveness.
Bain Capital’s involvement is expected to attract attention to its broader strategic ambitions in aerospace, fueling speculation about potential future investments or partnerships within the sector.
Transaction Advisors
The acquisition was supported by KAL Capital, serving as exclusive financial advisor to ATG, with legal counsel provided by Sheppard Mullin. Bain Capital was advised by Seabury Securities and legal counsel Ropes & Gray.
