Herbert Smith Freehills Advises Airlink on Lease of 10 Embraer Aircraft
Herbert Smith Freehills Kramer (HSF Kramer) has provided legal counsel to Airlink in securing a lease agreement for ten new Embraer E195-E2 passenger jets from Azorra. This transaction represents a significant asset financing milestone that supports the South African regional airline’s strategic expansion across sub-Saharan Africa.
Enhancing Airlink’s Fleet and Operational Capacity
Airlink currently operates a fleet exceeding 65 aircraft, serving more than 45 destinations across 15 African countries. The introduction of the Embraer E195-E2 jets is expected to enhance the airline’s operational capacity and fuel efficiency. These new aircraft will facilitate network growth and offer increased commercial and operational flexibility. Additionally, the E195-E2’s high degree of commonality with Airlink’s existing E-Jet fleet is anticipated to generate cost savings in areas such as operations, maintenance, training, and equipment.
Despite the benefits, integrating the new Embraer E2 jets poses challenges, including securing type acceptance, ensuring regulatory compliance, and managing the increased operational complexity. Nevertheless, the market has responded positively to the deal. Embraer’s commercial jet backlog has expanded considerably, driven by major orders from airlines such as LATAM and Avelo Airlines alongside this transaction. Industry analysts suggest that competitor carriers may pursue similar fleet expansions and strategic partnerships to maintain competitive positioning.
Legal Expertise and Industry Impact
The Australian HSF Kramer team advising Airlink was led by partner Steven Catanzariti and executive counsel James McNicol, with support from associate Luke Smith based in South Africa. Catanzariti remarked, “The new leasing agreement will allow Airlink to expand its regional fleet operations and support greater efficiencies and flexibility across the airline’s services. This deal is a great example of how we can leverage capability across our global network to provide the right expertise and best service to clients.”
Airlink’s CEO, de Villiers Engelbrecht, commended both HSF Kramer and Airlink’s in-house legal team, led by Nambita Mazwi, stating, “It was a pleasure dealing with the HSF Kramer team. They are consummate professionals and clearly experts in the field of aviation finance. The HSF Kramer team was always available to Airlink while navigating in very different time zones—it was legal and administrative execution at its finest.”
This transaction further consolidates HSF Kramer’s position as a market leader in asset and leasing finance. The firm has recently advised clients including Scoot, Malaysia Airlines, and Philippines Airlines on debt financing arrangements for over 30 narrow-body aircraft, as well as on various JOLCO transactions, operating and finance leases, lessor and lessee novations, and corporate debt deals.
